These Terms and Conditions constitute a legally binding agreement between you and [Zespri International Ltd] (the "Organizer"). 

The Organizer reserves the right to change, update or modify these Terms and Conditions at any time. Such changed, updated or modified terms will be posted on the Contest website at www.zespri.com/en-MY/just1zesprichallenge which shall constitute written notice to you.  You are also advised to review the Terms and Conditions every time you participate in the event. If you do not agree to these Terms and Conditions of the Contest, you should not participate in it.   

1. Organizer & Eligibility:

1.1 The Contest is organized by the Organizer.

1.2 You are eligible to enter if you meet the following requirements at time of entry:

i) You are a [Malaysian] resident.

ii) You are at least 18 years old.

iii) You are not an employee, contractor or intern of Zespri or a subsidiary or affiliate Zespri at any time during the Contest Period.

iv) You are not a director, agent, distributor, market service provider, supplier or consultant of Zespri and its subsidiaries or affiliates.

v) You are not involved in any part of the execution or administration of this Contest.

vi) You are not an immediate family member of (parent, sibling, spouse/domestic partner, child) or household member of the persons and entities listed in iii, iv & v above.

1.3 Participation in the Contest is free.  Data charges may however apply, so you should check the terms and conditions of your internet or mobile service package. 

1.4 You may enter each Challenge (defined below) in the Contest as many times as you want, but you will be only eligible to win one prize in respect of each Challenge.

1.5 All entries to the Contest and any copyright subsisting in the entries become and remain the property of the Organiser who may publish or cause to be published any of the Entries received. 

2. Contest Period

2.1 The Contest consists of three different Tongue Twister Challenges (each a “Challenge”) which each run for the contest period set out below (the “Contest Period”)

i) Tongue Twister no. 1: Weather Warrior Challenge begins on 20^th June 2022 at 00:00am (GMT+8) and ends on 10^th July 2022 at 11:59pm (GMT+8).

ii) Tongue Twister no. 2: Superlicious Vitamin C Challenge begins on 11th July 2022 at 00:00am (GMT+8) and ends on31^st July 2022 at 11:59pm (GMT+8).

iii) Tongue Twister no. 3: Power Packed Immunity begins on 1st August 2022 at 00:00am (GMT+8) and ends on 21st August 2022 at 11:59pm (GMT+8).

3. How to Participate

3.1 To participate, log into your Instagram account (must be made public). Post a video directly on your account of you using the #Just1ZespriChallenge Instagram filter on Instagram Reel saying the tongue twister. In the caption of each video, use the hashtag #Just1ZespriChallenge, mention [@ZespriMalaysia] and tag [@zesprimalaysia]. Add your own creative flair for a higher chance of winning.  Collectively the video and associated hashtags and @ mention are your “Entry”.

3.2 Entry Restrictions:

• The Entry must not contain material that violates or infringes any rights of any other party, including but not limited to copyright, trademark, privacy, publicity or any other intellectual property rights;
• The Entry must not in any way disparage Organiser or any other person or party;
• The Entry must not contain material that is inappropriate, indecent, obscene hateful, tortious, defamatory, slanderous or libellous;
• The Entry must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age;
•  The Entry must not contain material that is unlawful, in violation of or contrary to the laws or regulations of any jurisdiction where the Entry is created;
• The Entry cannot promote illegal drugs or firearms (or the use of any of the foregoing), or any activities that may appear unsafe or dangerous, or any particular political agenda or message;
• The Entry must be consistent with the image and values of Organiser and be consistent with and satisfy the purpose of the Contest.

3.3 You are allowed to enter the Contest multiple times throughout the Contest Period, however you are only eligible to win once per Challenge. All submitted Entries must be completed with the information mentioned above.   Entries with incomplete information or failure to comply with steps above will automatically be disqualified.

3.4 By submitting an Entry you grant permission for the Organiser to use of the participant's Entry,  name, biography, image, voice, photographs, video, opinions, statements, hometown, and country in any manner (including, without limitation, reproduce, modify, publish, create derivative works from, and display such Entry in whole or in part, and to incorporate it into other works), or in any media (including, without limitation, all internet media, now known or later developed), worldwide, in perpetuity, and without further payment, consideration, notice, review or consent, for the purposes of promotion, publicity and advertisement, without any compensation or need for prior notification to the participant. The Organiser shall not be liable or responsible in the event the Entry is not used for any reason.  Entries may be cut, edited, reformatted, rearranged, combined with other materials and/or otherwise modified, in Organiser’s sole and absolute discretion.

4. Winners, Prizes and, Terms and Conditions of Prizes

4.1  Winners will be selected weekly based on the following criteria ("Winning Criteria").

• Accuracy of the read (25%)
  •  Each word in the tongue twister needs to be read clearly and correctly
• Speed of read (25%)
  • Tongue Twister is read correctly in the fastest time possible
• Fun/Playfulness (25%)
  • Bright, colourful stickers and emojis, humour or personalised messages all add fun and playfulness to the submission. If the user features the Zespri kiwi in a playful way, they will get a higher chance of winning.
•  Boldness/Unexpectedness (25%)
  • Doing adventurous (yet safe) stunts add an element of unexpectedness to the submission. E.g.handstands, juggling. If the user features the Zespri kiwi in an unexpected and unique way, they will get a higher chance of winning.

4.2 The Organiser will select 5 winners each week in the Contest based on the Winning Criteria stated in clause 4.1.   The approximate retail value of one prize is RM 300.  There are 5 prizes to be won each week of Zespri Kiwifruit Wellness gift box containing Zespri Grocery bag and RM300 Happy Fresh Grocery Voucher. 

4.3 All prizes shall be provided as is and cannot be exchanged in full or in part for cash or cash equivalent. The Organiser reserves the right to replace the prizes with items of similar value at its sole and absolute discretion without prior notice in the event of unforeseen circumstances. All gifts are non-transferrable and non-refundable. To the extent permitted by law, the Organiser makes no warranties or representations whatsoever with respect to the prizes and will not be responsible nor liable for any problems and/or losses or damages thereto or arising there from.

4.4 You are eligible to win more than one (1) prize through multiple entries during the Campaign Period. However, you can only win once for each Tongue Twister Challenge listed out on clause 2.1.

4.5 Winners will be notified via a direct message on Instagram and will be required to reply the Instagram message with contact information such as mobile number and email address for the Organiser to further contact for delivery details to facilitate prize delivery.  If a winner does not wish to accept the prize or is uncontactable within 5 working days after the announcement of the winners, each such action will be deemed as a forfeiture of the prize.  Prizes will be delivered within one month of the winner providing his/her delivery details. 

4.6 The Organiser will also announce the winner list on its website at www.zespri.com/en-MY/just1zesprichallenge and on Facebook on a weekly basis. The full list of winners will be set out on www.zespri.com/en-MY/just1zesprichallenge 7 working days after the end of each contest week as set out in schedule below:

4.7  The Organiser will not be held responsible for any failure, technical glitch or delay in the announcement of the winners.

4.8 The Organiser reserves the right to reject a winner's redemption to the prize if personal particulars are incomplete and/or is incorrect.

4.9 The Contest is in no way sponsored, endorsed or administered by, or associated with, Instagram or Facebook.

5. Liability and Responsibility

5.1 To the maximum extent permitted by law, the Organizer and its agencies disclaim any and all losses, liabilities, costs, damages, expenses and/or proceedings whatsoever as a result of or in connection with the Contest, including, without limitation, indirect or consequential losses or loss of profits, expenses, damages or personal injury resulting from participation in the Contest.

5.2 The Organizer will not be liable for any error, omission, interruption, deletion, defect, delay in operations or transmission, breaches of security, Internet line failure, theft, destruction of, or unauthorized access to entries, computer glitches whether or not arising during operations or transmission as a result of server functions, viruses, bugs or other causes outside of its control relating to the Contest including amongst other errors in notification of Gift redemption.

6. Rights of the Organizer 

6.1 The Organizer reserves the right to disqualify incomplete, illegible and/or late registrants. 

6.2 By participating in the Contest, you consent to the Organizer collecting, using, disclosing and/or processing your name, details and other personal data that you have submitted to us, for purposes of advertising and/or trade publicity. This may include publishing such personal data in advertising and publicity materials.  You shall not be entitled to claim ownership or ask for other forms of compensation on the advertising or publicity materials. Your information and contest entries details shall be kept strictly private and confidential, and shall be retained by the Organiser from the start of this contest until the end of the contest and additional 2 months later for contest gift fulfilment purpose.

6.3 By participating in the Contest, you agree to be bound by the Terms and Conditions (as may be modified from time to time) and decisions of the Organizer. The Organizer’s decisions in respect of the Contest and these Terms and Conditions are final. 

7.  Privacy Policy

7.1 By taking part in the Contest, you understand and accept that the Organiser may collect, use, process and/or retain your personal information in accordance with this Privacy Policy. However, if for any reason you do not consent to the collection, use, processing and/or retention of your personal information, you have the right to withdraw such consent by contacting the Organiser at the contact details set out below. The Organiser may collect, use, process and/or retain any personal information provided by you, whether through the Contest or in other ways, and use such information for its legitimate business purposes which includes; but is not limited to administering your participation in the Contest as well as to market existing and future kiwifruit related products and services (whether internally or externally by any means whatsoever). The personal information that the Organiser collects, uses, processes and/or retains about you includes, but is not limited to your name, mobile number, email address and national registration identification card number and postal address which has been provided by you in the course of the Contest. The Organiser ensures that your privacy and confidentiality are accorded the highest priority. You also agree that the Organiser may use personal information provided by you in aggregate form for the purposes of performing and publishing industry statistics and analysis, provided that any such information does not personally identify you. You acknowledge that your entry into the Contest is dependent upon the provision of your personal information. 7.2 The Organiser reserves the right at all times to disclose any information that may be provided in the course of the Contest as is necessary to satisfy any law, regulation or governmental request, or to refuse to post, or to remove, any information or materials, in whole or in part, that in the Organiser's sole and absolute discretion are objectionable or in violation of the Terms and Conditions. Furthermore, the Organiser may also disclose your information to any of its agents, third party service providers, and its related and associated companies which may be located outside of [Malaysia] as required for the purposes relating to the Contest as well as for business related purposes.

7.3 Pursuant to the [Personal Data Protection Act 2010], you are entitled to access, limit, and/or request for the correction of the personal information the Organiser may hold about you at any time. Your rights of removal may be subject to any additional terms which apply to the relevant list or service. 7.4 Except for the translation of Clauses 7.1, 7.2 and 7.3 as attached in Annexure A, the Terms and Conditions are prepared in the English version only. All disputes relating to the Contest shall be subject to the [jurisdiction of the courts of Malaysia].

8.  Acceptance of Terms, General Law and Disclaimer

These Terms and Conditions shall be governed by and construed in accordance with the laws of the [Malaysia. Any dispute arising from these Terms and Conditions shall be subject to the exclusive jurisdiction of the Courts of Malaysia.]

Translation of Clauses 7.1, 7.2 and 7.3

7.1   Dengan menyertai Peraduan ini, anda memahami dan menerima, bahawa pihak Penganjur boleh mengumpul, mengguna, memproses dan/atau menyimpan maklumat peribadi anda menurut Syarat-syarat dan Terma-terma. Walau bagaimanapun, jika atas apa-apa sebab anda tidak bersetuju dengan pengumpulan, pengunaan, pemprosesan dan/atau penyimpanan maklumat peribadi anda, anda mempunyai hak untuk menarik balik persetujuan tersebut dengan menghubungi pihak Penganjur di butir-butir hubungan yang tertera di bawah. Pihak Penganjur boleh mengumpul, mengguna, memproses dan/atau menyimpan apa-apa maklumat peribadi yang diberikan oleh anda, sama ada melalui Peraduan atau dengan apa-apa cara lain, dan menggunakan maklumat tersebut untuk tujuan perniagaan yang sah termasuk, tetapi tidak terhad kepada, pentadbiran penyertaan anda dalam Peraduan ini dan juga untuk memasarkan produk dan perkhidmatan yang berkaitan buah kiwi yang sedia ada dan yang akan datang kepada anda (sama ada secara dalaman atau luaran dengan apa-apa cara). Maklumat peribadi yang pihak Penganjur mengumpul, mengguna, memproses dan/atau menyimpan tentang anda termasuk tetapi tidak terhad kepada nama, nombor telefon, alamat e-mel, nombor kad pengenalan pendaftaran negara dan alamat anda yang telah diberikan oleh anda semasa Peraduan. Pihak Penganjur memastikan bahawa privasi dan kerahsiaan anda diberikan keutamaan tertinggi. Anda juga bersetuju bahawa pihak Penganjur boleh menggunakan maklumat peribadi anda yang anda berikan dalam bentuk agregat untuk tujuan pelaksanaan dan penerbitan statistik industri dan analisis, dengan syarat bahawa mana-mana maklumat tersebut tidak mengenalpasti anda secara peribadi. Anda mengakui bahawa penyertaan anda dalam Peraduan ini adalah bergantung kepada pemberian maklumat peribadi anda. Pemberian maklumat peribadi anda adalah wajib dan jika anda tidak memberikan maklumat tersebut, anda tidak akan disertakan ke dalam Peraduan ini. 7.2   Pihak Penganjur berhak pada setiap masa untuk mendedahkan apa-apa maklumat yang diberikan semasa Peraduan ini sebagaimana yang diperlukan untuk memenuhi apa-apa undang-undang, peraturan atau permintaan kerajaan, atau untuk menolak untuk menyiarkan, atau menghapus, apa-apa maklumat atau bahan-bahan, secara keseluruhan atau sebahagiannya, yang mengikut budi bicara tunggal dan mutlak pihak Penganjur adalah tidak sesuai atau melanggar Terma-terma and Syarat-syarat ini. Selain itu, pihak Penganjur juga boleh mendedahkan maklumat anda kepada mana-mana ejen-ejen, pembekal perkhidmatan pihak ketiga, dan syarikat-syarikat berkaitan dan  sekutu yang mungkin berada di negara asing seperti yang dikehendaki untuk tujuan yang berkaitan dengan Peraduan ini dan juga untuk tujuan perniagaan yang berkaitan. 

7.3  Menurut kepada Akta Perlindungan Data Peribadi 2010, anda berhak untuk mengakses, membatas, dan/atau meminta untuk pembetulan maklumat peribadi yang pihak Penganjur mungkin simpan tentang anda pada bila-bila masa. Jika anda ingin mengakses, meminda, membetul, dan/atau menyingkirkan maklumat peribadi anda dari senarai surat-menyurat atau perkhidmatan pihak Penganjur yang serupa, sila hubungi Market Manager dari  Zespri Malaysia secara e-mel di contactMY@zespri.com , secara faks di  +60 3 7962 0001 atau secara telefon di +60 3 7962 0123.
